Terms of service — AffiliatesML

1. Acceptance

These Terms of Service ("Terms") form a binding agreement between you and Sheridan Media, Inc., operating as AffiliatesML ("AffiliatesML," "we," "us," "our"), governing your access to and use of affiliatesml.com and the publisher properties we operate as part of the AffiliatesML network (collectively, the "Service"). Sheridan Media, Inc. is an Alabama-incorporated corporation. By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years of age and legally able to enter into binding contracts in your jurisdiction to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Services we provide

We operate a network of editorial and comparison content properties that connect consumers researching decisions in regulated verticals with advertisers serving those verticals. We do not provide legal, financial, medical, insurance, or other professional advice; content on the Network is informational and editorial.

4. Your submissions

When you submit information through a lead form, you authorize us to deliver that information to the advertisers we have matched to your submission, consistent with the consent disclosures presented to you at submission and our Privacy Policy.

5. Acceptable use

You agree not to:

Submit false, misleading, or unauthorized information, including information about a person other than yourself without their authorization;
Use the Service for any unlawful purpose;
Interfere with the operation or security of the Service;
Reverse-engineer, scrape, or systematically access the Service except via published API endpoints with valid credentials;
Use the Service to harass, defraud, or harm others.

6. Advertiser terms

Advertisers using the Service to receive lead inventory are subject to a separate Master Services Agreement and the AffiliatesML Advertiser Acceptable Use Policy. Those terms govern the advertiser relationship in addition to these Terms.

7. Intellectual property

The Service and its content (excluding user-submitted information) are owned by AffiliatesML or its licensors and protected by U.S. and international intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose.

8. Third-party content and offers

The Service may surface offers, content, or links from third-party advertisers. We do not endorse and are not responsible for third-party content. Your transactions with advertisers are between you and them.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADVERTISINGML AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify and hold harmless AffiliatesML and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service or violation of these Terms.

12. Governing law and jurisdiction

These Terms are governed by the laws of the State of Alabama, without regard to its conflict-of-laws principles. Subject to the arbitration provision below, any action arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Mobile, Alabama, and you consent to personal jurisdiction in those courts.

13. Arbitration and class-action waiver

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved through good-faith negotiation within thirty days will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in English, and the arbitrator's decision will be final and enforceable in any court of competent jurisdiction.

YOU AND ADVERTISINGML AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

You may opt out of this arbitration agreement within thirty days of first accepting these Terms by emailing legal@affiliatesml.com with subject "Arbitration Opt-Out" and your full name and contact information.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Sections that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, governing law, and arbitration) will survive.

15. Changes

We may update these Terms from time to time. Material changes are noted at the top of this page with a revised "Last updated" date. Continued use after a material change constitutes acceptance.

16. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

17. Entire agreement

These Terms, together with our Privacy Policy, TCPA Consent, FTC Disclosure, and Cookie Policy, constitute the entire agreement between you and AffiliatesML regarding the Service.
